1. Who we are and what these Terms cover
These Terms of Service (“Terms”) govern your use of claritymessaging.com (the “Website”) and your booking and purchase of consultations, diagnostic sessions, and other one-time services offered through the Website.
The Website and these services are provided by Clarity Messaging, LLC, a Virginia limited liability company registered to do business in North Carolina, operating as Clarity Messaging (“Clarity Messaging,” “we,” “us,” or “our”).
Our principal business mailing address is:
Clarity Messaging, LLC
1053 E Whitaker Mill Rd, Suite 115
Raleigh, NC 27604
United States
Contact: [email protected]
Our services are intended for businesses and organizations. You must be at least 18 years old and have authority to act for the business or organization you represent. If you book on behalf of an organization, “you” includes that organization, and you represent that you are authorized to enter into the applicable agreement on its behalf.
You accept these Terms when you affirmatively agree to them during a booking or purchase. Please review them before completing that transaction. Access to Website content is subject to the permitted-use provisions below.
Our Privacy Policy explains how we handle personal information. Accepting these Terms does not, by itself, constitute consent to optional marketing, meeting recording, or other processing that requires separate consent.
2. Separate client agreements
Projects, retainers, hosting, maintenance, care plans, and other ongoing engagements are governed by their separate signed contracts, accepted proposals, statements of work, and any applicable data processing agreements.
These Website Terms do not replace those agreements. If a separate agreement conflicts with these Terms concerning the services covered by that agreement, the separate agreement controls. Changes to these Website Terms do not amend a signed client agreement.
A booking does not by itself create an ongoing retainer, hosting arrangement, maintenance obligation, or implementation engagement.
3. Our services and the scope of a booking
We provide consulting and diagnostic services concerning websites, customer relationship management systems, content management systems, automation, integrations, business processes, and related technology.
The description, duration, price, and included deliverables displayed and accepted when you book define the scope of that appointment.
The Systems Diagnostic currently offered through the Website is a fixed-price, 90-minute remote consultation priced at US $997. Its purpose is to assess what is working in your systems, identify obstacles, and discuss steps for improvement. A written report, implementation plan, software configuration, or other deliverable is included only if expressly stated in the offer accepted at purchase.
Hourly consulting sessions are booked and billed in one-hour increments at the rate disclosed before purchase. The fixed-price diagnostic is a separate offering and is not calculated using the hourly consulting rate.
Work beyond the purchased appointment requires a separate agreement on scope and fees. We may invoice additional agreed work separately. We will not treat participation in a session as authorization to charge for unapproved additional time or work.
Website descriptions and prices may change for future bookings. Changes do not reduce the scope of a previously confirmed, paid booking without your agreement.
4. Booking and payment
You agree to provide accurate contact, business, scheduling, and billing information and to keep your booking details current.
Unless a different payment arrangement is stated before purchase or agreed in writing, payment is due when you book. Your appointment is confirmed when the booking system or Clarity Messaging sends a confirmation and any required payment has been received.
Prices are in United States dollars unless expressly stated otherwise. Applicable taxes and any additional charges will be disclosed before you complete the purchase. Currency conversion or foreign transaction charges imposed by your financial institution are outside our control.
Payments are handled through a third-party payment processor. You authorize the charge shown at checkout and represent that you are entitled to use the payment method you provide.
If an obvious pricing or booking error affects your transaction, we will contact you to resolve it. We will not impose a higher price without your agreement. If we cannot honor the purchase and you do not accept an alternative, we will refund the payment for the affected service.
One-time bookings do not renew automatically. Any subscription or recurring billing arrangement is governed by its separate signed agreement.
5. Cancellation, refunds, and rescheduling
Cancellations with at least 24 hours’ notice
You may cancel a paid appointment and receive a full refund of the amount paid for that appointment if we receive the cancellation at least 24 hours before its scheduled start time.
You may cancel through the link in your booking confirmation, where available, or by emailing [email protected] with sufficient information to identify the booking. The 24-hour period is measured against the scheduled start time shown in your confirmation, taking its displayed time zone into account.
Late cancellations and no-shows
Cancellations received less than 24 hours before the scheduled start time and failure to attend a scheduled appointment are not eligible for a refund, except where applicable law requires otherwise or we expressly agree otherwise.
Late cancellations and no-shows remain eligible for the rescheduling opportunity described below.
Rescheduling
Subject to availability, you may move a paid appointment, including a late-canceled or missed appointment, to a replacement appointment occurring within 14 calendar days after the original scheduled date. Your existing payment will apply to that replacement appointment.
If we have no appointment availability within that 14-day period, we will extend the window to our earliest available appointment after the period. We will coordinate that date with you. You will not lose this rescheduling opportunity solely because our calendar had no availability within the original window.
Please contact us promptly to arrange the replacement. The availability-based extension does not create a right to hold an unused booking open indefinitely or to select an unrestricted future date.
If we cancel or cannot provide the appointment
If Clarity Messaging cancels your appointment or cannot provide it because of an issue on our side, you may choose either a full refund for the affected appointment or a mutually agreed replacement date.
We will initiate approved refunds promptly using the original payment method where possible. The payment processor and your financial institution determine when the refund appears in your account.
Late arrival and connection issues
Please join on time with a working connection and the materials needed for the session. If you arrive late, the appointment will normally end at its originally scheduled time unless we agree otherwise.
If a technical problem interrupts a session, contact us promptly so we can determine whether to reconnect or arrange a replacement. Nothing in this section removes your refund or rescheduling rights when we are unable to provide the purchased service.
Rights preserved
This policy does not limit remedies that cannot lawfully be excluded, prevent you from raising a genuine billing error or service dispute, or override a separate agreement governing a different engagement.
6. Your participation and information
You are responsible for the accuracy of the information you provide and for obtaining permission to share materials, personal information, or access to systems belonging to your organization or another person.
Recommendations depend on the information and access available during the engagement. Missing or inaccurate information may limit the usefulness or completeness of our assessment.
Do not submit patient records, children’s personal information, sensitive financial records, or other highly sensitive information through ordinary booking forms or meeting discussions. If a proposed engagement would require such information, discuss the requirements with us before sharing it.
Use an appropriate secure method for credentials and access permissions. Do not send passwords or security keys through ordinary booking fields.
You retain responsibility for business decisions and for authorizing changes to your systems. Implementation is included only when expressly agreed.
7. Confidential information and client materials
You retain ownership of materials and information you provide. You authorize us to access and use them as reasonably necessary to provide the purchased service and for the purposes explained in our Privacy Policy, subject to any separate confidentiality or data processing agreement.
We will use reasonable care with nonpublic business information shared for an engagement and limit access to people and providers who need it for the relevant work or another lawful purpose.
This confidentiality commitment does not cover information that is publicly available through no breach by us, lawfully obtained from another source without a confidentiality restriction, independently developed, or required to be disclosed by law.
Your participation does not give us permission to publish your confidential materials, meeting recordings, name, logo, or testimonial as a case study or endorsement. Any such use requires separate authorization.
8. Intellectual property and use of deliverables
We and our licensors retain ownership of Website content and our pre-existing or independently developed methods, templates, frameworks, software, tools, and know-how.
Unless a separate agreement states otherwise, once you have paid for a consultation, you may use the recommendations and any included deliverables in your own business. We grant your organization a perpetual, nonexclusive license to use and reproduce those deliverables internally and to share them with employees and professional advisers or implementation providers working for your organization.
This license does not permit you to resell our materials as a standalone product, publish confidential material, or redistribute our reusable templates or tools to unrelated customers. It does not restrict your ownership or use of materials you supplied.
Ownership and licensing of custom implementation work or other project deliverables will be addressed in the applicable project agreement.
9. Meeting recording, transcription, and AI assistance
We may use recording, transcription, and AI-assisted note-taking tools during meetings to support accurate notes, follow-up, analysis, and the service purposes described in our Privacy Policy.
We will notify participants before a meeting is recorded or transcribed. You may request a meeting without recording or AI notes by contacting us before the meeting or telling the meeting host before recording begins. You may also ask us to stop during a meeting.
Where applicable law requires affirmative consent or another specific authorization before recording or transcription, we will obtain that authorization before starting. Advance notice and an opportunity to object do not override those requirements. Agreement to these Website Terms does not waive any participant’s recording or privacy rights.
AI-generated transcripts, summaries, and analysis may contain errors and should not be treated as a verbatim or authoritative record without review.
You may request access to a recording or transcript, or request deletion, by contacting [email protected]. Requests are subject to applicable law, the rights of other participants, and the retention and request-handling provisions in our Privacy Policy.
Recordings are not a substitute for maintaining your own business records, and we do not provide a guaranteed archival service through a consultation booking.
10. Email and text communications
We may contact you about inquiries, bookings, scheduling, payments, and services using the contact information you provide, subject to applicable communication and consent requirements.
Our text messaging activities include individual business conversations and automated appointment reminders. Message frequency depends on your interactions and appointments. Message and data rates may apply.
You can opt out of text messages by replying STOP, telling us directly, or contacting [email protected]. You may request assistance by replying HELP or emailing that address. We honor other reasonable requests to stop messages as required by applicable law.
After an opt-out, a permitted confirmation message may be sent. We may use email or another appropriate channel for necessary booking communications. Opting out of text messages does not itself cancel your appointment.
Text delivery depends on communications providers and networks. Reminders may be delayed or unavailable, so please retain your booking confirmation and calendar entry.
Agreeing to these Terms, providing a telephone number, or purchasing a service does not by itself enroll you in promotional text campaigns. Any marketing messaging requiring separate consent will use a separate permission process. Consent to optional messaging is not a condition of purchase.
You may unsubscribe from newsletters and promotional email using the instructions in the message or by contacting us. Unsubscribing from marketing does not prevent necessary, nonpromotional communications about a current booking or service.
11. Acceptable use of the Website
You may use the Website to learn about our services, view publicly available content, make legitimate inquiries, and book services.
You must not use the Website to commit fraud, misrepresent your identity or authority, infringe another person’s rights, transmit malicious code, access restricted systems without permission, interfere with Website operations, or collect information from the Website in a way that violates applicable law.
We may restrict Website access reasonably necessary to address misuse or protect the Website. Doing so does not eliminate refund obligations for a service we cancel or other rights that cannot be excluded.
12. Third-party services and links
The Website and booking process may include external links and services for scheduling, payment, meetings, and other functions.
Third parties operate under their own applicable terms and privacy notices. Their availability, features, and decisions are outside our direct control. A link does not by itself constitute an endorsement.
Our use of a service provider does not eliminate our own contractual or legal responsibilities.
13. Professional judgment and limitations of our services
We will provide purchased consultations with reasonable care and skill. Recommendations reflect the circumstances and information available at the time.
We do not guarantee particular revenue, lead volume, search rankings, cost savings, conversion rates, integration compatibility, uninterrupted operation, or other business outcomes.
Our consulting is not legal, tax, investment, accounting, or medical advice. Obtain advice from an appropriately qualified professional when a decision requires it.
To the extent permitted by applicable law, the Website and general informational content are provided as available, without additional implied warranties. This provision does not remove the express commitments made in these Terms or any warranty or remedy that applicable law does not allow us to exclude.
14. Limitation of liability
To the fullest extent permitted by applicable law, neither party will be liable to the other under these Terms for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of anticipated profits or business opportunities.
To the fullest extent permitted by applicable law, Clarity Messaging’s total aggregate liability for claims arising out of a particular booking will not exceed the greater of the amount you paid for that booking or US $100. For a claim arising solely from free Website use and unrelated to a paid booking, the limit is US $100.
These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, refunds expressly owed under these Terms, or liability that applicable law prohibits us from excluding or limiting.
Any separate signed client agreement governs liability for the services it covers.
15. Disputes and governing law
If a dispute arises, please contact [email protected] with a description of the issue and your requested resolution. We will try in good faith to resolve it through direct discussion.
Where practical, each party will allow up to 30 days for that discussion before filing a claim. This does not prevent urgent relief, require either party to miss a filing deadline, or restrict a complaint to a regulator or other nonwaivable remedy.
Subject to rights that applicable law does not permit the parties to waive, these Terms are governed by North Carolina law, without regard to conflict-of-law rules. The parties consent to jurisdiction and venue in the state courts located in Wake County, North Carolina, or, where federal jurisdiction exists, the United States District Court for the Eastern District of North Carolina.
These Terms do not require arbitration or waive a right to participate in a class proceeding.
16. Changes to these Terms
We may update these Terms for future Website use and transactions. The version will be identified by its effective date.
The Terms accepted when a booking is made govern that booking unless you agree to a change or a change is required by law. We will provide any notice or obtain any renewed agreement required for a material change.
17. General provisions
If a provision is held unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A failure to enforce a provision on one occasion is not a waiver of the right to enforce it later.
These Terms, the description accepted for the booking, and any separately applicable written agreement constitute the agreement concerning that booking. Specific commitments in an accepted booking description control over a conflicting general description in these Terms.
Nothing in these Terms creates a partnership, employment relationship, or agency relationship between you and Clarity Messaging.
